This Acceptable Use Policy (the "AUP") governs how you may use the TradeSpark platform, including our website, mobile and web applications, APIs, and related services (collectively, the "Service"). By using the Service you agree to this AUP. We may update it from time to time; the current version will always be available at this URL.
Violations of this AUP may result in content removal, suspension, or permanent termination of your account, and may be reported to law enforcement where appropriate.

1. Who this applies to
This AUP applies to every user of the Service, property owners, DIYers, trade professionals, contractors, employees or agents acting on behalf of a business, and anyone else who accesses or uses the Service directly or indirectly.
2. Prohibited conduct
You may not, and may not help anyone else, do any of the following:
- Use the Service to violate any applicable law, regulation, or licensing requirement, or to infringe anyone's rights.
- Post, transmit, or request content that is unlawful, fraudulent, deceptive, misleading, defamatory, harassing, discriminatory, threatening, obscene, sexually explicit, violent, or otherwise objectionable.
- Impersonate any person or entity, misrepresent your identity, credentials, affiliation, licensing, insurance, or the nature of your services or project.
- Scrape, crawl, harvest, or otherwise extract data from the Service except through interfaces we expressly authorize.
- Reverse engineer, decompile, or attempt to derive the source code, underlying models, training data, or algorithms of the Service, except to the limited extent this restriction is prohibited by applicable law.
- Probe, scan, or test the vulnerability of the Service, or breach or circumvent any authentication, security, or quota measure, without our prior written permission.
- Introduce any malware, virus, worm, Trojan, time bomb, or other harmful code; interfere with or disrupt the integrity or performance of the Service.
- Use bots, spoofing, or other automated means to create accounts, submit bids, manipulate pricing, inflate reviews, or distort rankings or recommendations.
- Circumvent the platform to avoid fees, taxes, insurance obligations, or required background checks, including by soliciting a counterparty off-platform after they have been introduced to you through the Service in a way that violates our terms.
- Make unsolicited contact with users for purposes unrelated to a bona fide project inquiry, including unsolicited marketing, spam, or chain messages.
- Collect or process personal information about other users except as strictly necessary to complete a project and consistent with our Privacy Policy and applicable law.
- Discriminate against users or refuse to engage with them on the basis of race, color, religion, national origin, sex, sexual orientation, gender identity, age, disability, family status, source of income, or any other characteristic protected by law.
- Use the Service for activities that are high-risk to life or safety where the Service is not appropriate, including in a manner that conflicts with applicable building codes, permit requirements, or professional licensing obligations.
- Sell, share, or transfer your account credentials, or allow others to use your account.
3. Content standards
You are responsible for anything you post, upload, submit, generate, or transmit through the Service ("User Content"). User Content must:
- Be accurate and not misleading, including project descriptions, credentials, licensing, insurance, availability, and bids.
- Not infringe copyrights, trademarks, trade secrets, privacy, publicity, or other legal rights of any person.
- Not contain personal information of third parties without a lawful basis to share it.
- Not promote illegal activity, violence, self-harm, discrimination, or harassment.
- Comply with this AUP, the TradeSpark Terms of Service, and our Privacy Policy.
4. Obligations of Pros & Contractors
If you use the Service as a trade professional, contractor, or on behalf of a business performing work ("Pro"), you additionally agree that:
- You hold all licenses, registrations, permits, insurance, and bonds required by applicable federal, state, and local law for the work you advertise or perform, and you will maintain them in good standing.
- Any information you provide about your business, experience, credentials, and prior work is truthful and current. You will promptly update it when it changes.
- You will perform any work you agree to in a professional, workmanlike manner, in compliance with applicable building codes, safety standards, and permit requirements.
- You will comply with applicable laws governing the employment and classification of any personnel you use to perform work obtained through the Service (including wage, hour, tax, and worker safety laws).
- You will honor reasonable warranties and commitments you make in your bids or communications on the Service.
- You will not engage in bid rigging, price fixing, collusive bidding, or any other practice that violates competition law.
- You will not file, or threaten to file, false or retaliatory reviews or reports against property owners, other Pros, or TradeSpark.
- You consent to reasonable license verification and background checks as a condition of participation.
5. Obligations of Property Owners & DIYers
If you use the Service to scope a project or hire a Pro, you agree that:
- You have the legal right to authorize the proposed work at the property in question, or you are acting on behalf of someone who does.
- The information you submit, including scope, budget, property details, and timeline, is accurate to the best of your knowledge.
- You will not post a project you do not intend to carry out, or use the Service solely to collect competitive pricing intelligence without a bona fide intent to hire.
- You will treat Pros professionally and pay promptly for work you have authorized and that has been completed as agreed.
- You will obtain any permits and approvals required by your local jurisdiction, or confirm that the Pro will obtain them on your behalf.
6. Responsible use of AI features
The Service includes AI-powered features that generate project scopes, estimates, recommendations, and other outputs. These outputs are informational and may contain errors or omissions. You agree that:
- AI-generated estimates and scopes are not a substitute for a professional assessment, site inspection, engineering opinion, or legal, financial, or tax advice.
- You will review AI outputs for accuracy before relying on them for a final pricing, construction, safety, or compliance decision.
- You will not use the Service to generate content that violates Section 2 (Prohibited conduct) or Section 3 (Content standards).
- You will not use outputs of the Service to train, fine-tune, or evaluate a competing AI model without our prior written consent.
- You will not submit third-party personal information into AI features unless you have a lawful basis to do so.
7. Intellectual property & automated access
The Service, including its software, models, design, content, and trademarks, is protected by law and is owned by TradeSpark or its licensors. You receive only the limited rights expressly granted in the Terms of Service. You may not frame, mirror, or scrape the Service, and you may not use any data mining, robot, or similar data-gathering or extraction method, except through interfaces we authorize in writing.
8. Account security
You are responsible for activity under your account. Keep your credentials confidential, use a strong unique password, enable multi-factor authentication where offered, and notify us promptly at hello@tradespark.ai if you suspect unauthorized access.
9. Reporting violations
If you see a violation of this AUP, including fraudulent bids, unsafe practices, harassment, misrepresented credentials, or suspected abuse, please report it to hello@tradespark.ai. For intellectual property concerns, email hello@tradespark.ai. For security issues, email hello@tradespark.ai.
10. Enforcement
We may investigate suspected violations of this AUP. We may, with or without notice:
- Remove, edit, or restrict access to content.
- Warn, suspend, limit, or terminate accounts.
- Revoke Pro status, refund property owners, or reverse transactions where appropriate.
- Cooperate with law enforcement and regulators and disclose information as required by law.
- Pursue any other remedies available to us under the Terms of Service, this AUP, or applicable law.
Our failure to enforce any provision of this AUP is not a waiver of our right to do so later.
11. Governing law
This AUP is governed by the laws of the State of Delaware, United States of America, without regard to conflict-of-law principles. The state and federal courts located in Delaware will have exclusive jurisdiction over any dispute arising out of or relating to this AUP, except where mandatory local law provides otherwise. This clause does not affect any mandatory consumer rights you may have under the law of your country of residence.
